Work You’ll Do
Responsible for providing strategic advisory services, including for mergers and acquisitions, capital raising, balance sheet advisory, and regulatory issues, to clients. Lead deal teams for execution of M&A and capital raising engagements. Responsible for financial analysis and modeling of M&A, valuation, and capital raising solutions/transactions. Provide strategic advice on optimizing capital structure, analysis of capital market alternatives, and available sources of finance, and manage the execution of multi-faceted balance sheet restructurings and financing plans. Interface with client C-suite executives and deal counterparties to deliver M&A findings and message deal nuances from strategic and legal perspectives. Provide fairness opinions by assessing the terms of corporate transactions relative to industry and market conditions.

Requirements
- Master's degree in Accounting or related field (willing to accept foreign education equivalent).
- Three years of experience working with complex areas of client's balance sheets and income statements, including goodwill, complex investments, management estimates, and income taxes.
- Experience must include three years of:
- Performing audits under Generally Accepted Auditing Standards (GAAS), Generally Accepted Accounting Principles (GAAP), Public Company Accounting Oversight Board (PCAOB), American Institute of Certified Public Accountants (AICPA) auditing standards, Sarbanes-Oxley (SOX), and International Financial Reporting Standards (IFRS);
- Interacting directly with senior management of the engagement team and engagement clients to discuss findings, issues, and resolution;
- Utilizing advanced Excel tools, including Pivot Tables and VLOOKUP; and
- Reviewing clients' 10-K and 10-Q filings under SEC regulations for material errors and inconsistencies.
- Experience must include two years of:
- Analyzing companies’ financial data to identify historical and projected financial and operating trends, quality of earnings and working capital considerations, and potential liabilities and risks which impact valuation of the company;
- Resolving issues in technical accounting areas, including US GAAP and SEC reporting, especially pertaining to business combinations, consolidations, share-based compensation, revenue recognition, leases, intangibles, and financial instruments;
- Evaluating companies' historical and projected earnings and cash flows, hidden contingencies, commitments, and tax exposures, as well as quality of assets and internal control structure;
- Creating and designing tailored reports/memos specific to key issues, including valuation model input assumptions, purchase accounting considerations, and indebtedness considerations; and
- Assisting with structuring purchase price adjustment mechanisms and other relevant projections in stock purchase agreements.
- Position requires approximately 30% domestic travel.
Salary: $126,840.00 - $211,400.00/year;
