Work You’ll Do
Play substantive role in engagement planning, economics, and billing. Attain quality internal and external communications and deliverables, including technical content of reports and proposals. Understand clients’ business by reading source documents including confidential memorandum prepared by investment bankers and management presentations. Work with the acquiring company and the target company's upper management to design due diligence procedures, conduct due diligence, and perform complex accounting and due diligence procedures on balance sheets and income statements. Deliver due diligence findings to clients and answer follow-up questions and requests. Respond to ad-hoc client requests when project scope shifts. Participate in proposal development efforts. Build strong client relationships and ensure ongoing client communication. Enhance relationships with audit and tax professionals and support multi-functional engagements with specialized accounting and industry knowledge. Evaluate, counsel, mentor, and provide feedback on performance of subordinates and assist with recruitment retention of professionals.

Requirements
- Bachelor's degree (or higher) in Accounting, Finance, Economics, Business Administration, or related field (willing to accept foreign education equivalent, including three year foreign degree).
- Four years of public accounting experience.
- Experience must include one year of:
- Identifying and evaluating transactions for both financial and strategic buyers;
- Identifying “deal breakers” in potential transactions with a focus on cash flow and earnings;
- Evaluating targets’ historical and projected earnings and cash flows, hidden contingencies, commitments, tax exposures, asset quality, and net working capital requirements;
- Reviewing and commenting on financial, accounting, and tax considerations in investment models, bank finance agreements, and public debt offering documents;
- Assisting in structuring purchase price adjustment mechanisms and relevant clauses and covenants in stock purchase agreements;
- Identifying integration and post-transaction transition issues;
- Assisting with divestiture strategy, planning, and execution;
- Proposing and evaluating allocation methodologies for financial statement line items in the course of preparing carve-out financial statements; and
- Presenting due diligence findings to clients and third-party stakeholders including lenders, brokers, and insurers.
- Position requires approximately 20% travel.
